Who Owns Bonnaroo? A Controlling Interest, a Farm, and an Undisclosed Cap Table

Bonnaroo is a Live Nation festival, and has been since 2015. That sentence is defensible; the sentence people usually write next — that Live Nation owns Bonnaroo outright — is one step further than the documents go. The announcement that moved the festival into the largest promoter in the world used a specific phrase, “controlling interest,” and no later first-party disclosure cited here replaces it with a number.

What the 2015 announcement actually says

On 28 April 2015 Live Nation announced that it had acquired a controlling interest in Bonnaroo, and separately that it had acquired a share of Great Stage Park, the 700-acre Manchester, Tennessee property the festival is built on each June. Two assets, two different transactions, two different verbs: an interest in the event business, and a share of the land under it. The announcement also stated that Superfly and AC Entertainment, who created the festival in 2002, would continue running it day to day — a statement about the arrangement in 2015, not a durable description of today.

Control is a threshold, not a percentage

A controlling interest is a governance fact: it means the holder can direct the entity's decisions. It is compatible with 51% and with 100%, and the difference between those two matters to anyone modelling the economics, because the residual holders still take a share of the result. Live Nation's public filings describe festivals in the aggregate rather than naming individual cap tables, so the honest position is that Live Nation controls Bonnaroo and the exact split is not public. The Farm is a separate question from the festival

Great Stage Park is a real-estate asset with its own ownership. Live Nation's 2015 announcement reports a share of it, not title to it, which is the same structural distinction this publication documents at Coachella, where the promoter operates a site the Haagen family owns. Site interest and event control are separable, and the party that holds one does not automatically hold the other. When a festival's land and its brand sit in different hands, the renewal terms on the land are a standing risk to the event.
